1. About us

fileCC is operated by My Shadow Ltd (trading as "fileCC"), a company registered in England and Wales under company number [COMPANY REGISTRATION NUMBER], with its registered office at [REGISTERED OFFICE ADDRESS] ("fileCC", "we", "us", "our"). These terms govern your use of the fileCC website and file transfer service (the "Service"). By sending a file, creating an account, or otherwise using the Service, you agree to these terms. If you do not agree to them, please do not use the Service.

2. The Service

fileCC lets a sender upload one or more files, which are then made available for a recipient to download from a link, without either party needing to route the files through email. Files are stored using third-party cloud storage and are deleted automatically according to the retention option chosen at the time of sending: either as soon as every recipient has downloaded them, or after a fixed number of days, whichever the sender selected.

Transfers up to a free threshold shown on our pricing page are provided at no charge. Above that threshold, sending a transfer costs credits, purchased in advance as described in clause 4. We may change the free threshold, credit rates, or retention options from time to time; the rates that applied at the time you sent a transfer are the rates that were charged for it.

3. Accounts

You do not need an account to send a transfer within the free threshold. Larger transfers, or features such as transfer history and saved credit balances, require you to register an account with a valid email address and password. You are responsible for keeping your password confidential and for all activity that happens under your account. Tell us straight away if you believe your account has been accessed without your permission.

You must be at least 18 years old to create an account. We may suspend or close an account that we reasonably believe breaches these terms, is used fraudulently, or is used to breach the law.

4. Credits, pricing and payment

Credits are purchased in packs shown on our pricing page and are charged to a payment card via our payment processor, Stripe. Prices are shown in pounds sterling and, where applicable, include any VAT we are required to charge. Credits are deducted from your balance when you send a chargeable transfer.

Credits are non-refundable once spent on a completed transfer. Because sending a transfer is an instant digital service that begins as soon as you confirm it, you acknowledge that your right to cancel a purchase under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 ends once the transfer or credit purchase you have paid for has been used or begun. Unused credit balances remain valid on your account; contact us if you wish to discuss a refund for genuinely unused credits.

5. File retention, deletion and your responsibility for backups

fileCC is a transfer service, not a permanent backup or archive. Files are deleted automatically once the retention period you selected has passed, or once every recipient has downloaded them if you selected delete-on-download. Once deleted, files cannot be recovered. You are responsible for keeping your own copy of anything you send, and for confirming with your recipient(s) that they have received and downloaded what they need before a transfer expires.

6. Acceptable use

You must not use the Service to send, store, or distribute anything that:

You must not attempt to circumvent the credit or retention limits of the Service, interfere with its operation, or gain unauthorised access to any part of it. We may remove content or suspend an account that we reasonably believe breaches this clause.

7. Availability and changes to the Service

We aim to keep the Service available at all times but do not guarantee uninterrupted access. We may suspend, withdraw, or change all or part of the Service for maintenance, security, or operational reasons, and may update these terms from time to time. Where a change is material, we will take reasonable steps to bring it to your attention. Continued use of the Service after a change takes effect means you accept the updated terms.

8. Intellectual property

You retain all ownership rights in the files you send through the Service. By uploading a file, you grant us a limited licence to store, copy, and transmit it solely for the purpose of providing the Service to you and your chosen recipient(s), and, where applicable, to comply with the law. The fileCC name, logo, and website design are owned by us and may not be used without our permission.

9. Liability

Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded under English law.

Subject to the above, we are not liable for any loss of files that occurs after their retention period has expired or after they have been downloaded by every recipient, for indirect or consequential loss, or for loss of profits, business, or data arising from your use of the Service. Our total liability to you for any claim arising from the Service is limited to the amount you paid us for credits in the 12 months before the claim arose. If you are a consumer, this clause does not affect your statutory rights under the Consumer Rights Act 2015.

10. Data protection

We process personal data in connection with the Service as described in our Privacy Policy, which forms part of these terms. If a file you send contains personal data about someone else, you are responsible for having a lawful basis to share it and for telling that person how their information will be handled.

11. Termination

You may stop using the Service, or close your account, at any time. We may suspend or terminate your access to the Service if you breach these terms, or on reasonable notice for any other reason. On termination, any files already scheduled for deletion under clause 5 will still be deleted according to their normal schedule.

12. Governing law

These terms, and any dispute arising from them or from the Service, are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction over any such dispute, except that if you are a consumer resident elsewhere in the UK, mandatory local consumer protection law may also apply in your favour.
